1. 条款的接受1. Acceptance of Terms
本服务条款（以下简称“本条款”）是您与广州市云深致远技术有限公司（以下简称“本公司”“我们”）之间就使用跨境电商 ERP SaaS 平台及相关技术服务（以下简称“本服务”）所达成的协议。注册账户、访问或使用本服务，即表示您已阅读、理解并同意接受本条款约束。如您代表企业使用本服务，您声明并保证已获得该企业的合法授权。 These Terms of Service (the "Terms") constitute an agreement between you and Guangzhou Yunshen Zhiyuan Technology Co., Ltd. ("we", "us", "our") governing the use of the cross-border e-commerce ERP SaaS platform and related technical services (the "Services"). By registering an account or accessing or using the Services, you confirm that you have read, understood and agreed to be bound by these Terms. If you use the Services on behalf of an organization, you represent and warrant that you are authorized to do so.
2. 服务说明2. Description of Services
本服务为面向跨境电商卖家的软件即服务（SaaS）平台，主要功能包括：The Services comprise a software-as-a-service (SaaS) platform for cross-border e-commerce sellers, including:
- 多平台订单的接入、处理与状态回传Multi-channel order intake, processing and status write-back
- 库存数据的同步、分配与预警Inventory synchronization, allocation and alerting
- 履约与物流环节的面单、轨迹与运费管理Label, tracking and freight management for fulfillment and logistics
- 财务结算数据的归集、对账与利润分析Settlement data aggregation, reconciliation and margin analysis
- 经营数据看板与报表输出Business dashboards and report generation
具体功能范围以双方另行签署的服务协议或订单约定为准。我们可基于产品迭代对功能进行优化、调整或升级。 The specific scope of functionality is governed by any separately executed service agreement or order. We may optimize, adjust or upgrade features as the product evolves.
3. 账户注册与安全3. Accounts & Security
- 您应提供真实、准确、完整的企业与联系人信息，并及时更新。You must provide true, accurate and complete corporate and contact information and keep it up to date.
- 您应妥善保管账户凭证，并对账户下发生的所有操作负责。You are responsible for safeguarding your credentials and for all activity under your account.
- 发现账户被未授权使用或存在安全隐患时，应立即通知我们。You must notify us promptly upon discovering unauthorized use of your account or any security risk.
- 账户仅供您内部业务使用，未经书面同意不得转让、出借或共享给第三方。Accounts are for your internal business use only and may not be transferred, lent or shared with third parties without written consent.
4. 平台授权与第三方接口4. Marketplace Authorization & Third-Party APIs
- 您应通过电商平台的官方授权流程，自行完成店铺与平台账号的授权，并确保您对相关店铺拥有合法管理权限。You must complete store and account authorization through the marketplace's official authorization flow and ensure you hold lawful authority over the relevant stores.
- 您授权我们通过平台官方开放接口（包括 Amazon Selling Partner API）为您获取和处理业务运营所需数据，用于提供本服务。You authorize us to obtain and process the data required to deliver the Services through official marketplace open APIs, including the Amazon Selling Partner API.
- 您可随时终止授权；终止后我们将按《隐私政策》的约定停止访问并删除相应数据。You may terminate authorization at any time; following termination we will cease access and delete the corresponding data as set out in our Privacy Policy.
- 本服务对平台接口的使用须遵守相应平台的开发者协议与政策。如平台政策变更导致功能受限，我们将及时通知并协商调整方案。Use of marketplace APIs through the Services must comply with the respective platform's developer agreement and policies. If a policy change limits functionality, we will notify you and agree on an adjustment.
5. 使用规范5. Acceptable Use
您同意不得利用本服务从事下列行为：You agree not to use the Services to:
- 违反任何适用法律法规或电商平台规则的行为，包括销售禁限售商品、虚假交易、操纵评价等；Violate any applicable law or marketplace rule, including the sale of prohibited items, fake transactions or review manipulation;
- 未经授权访问他人账户、数据或系统；Access another party's account, data or systems without authorization;
- 对本服务进行反向工程、反编译、爬取或试图获取源代码；Reverse engineer, decompile, scrape or attempt to obtain the source code of the Services;
- 利用本服务传输恶意代码、发起攻击或干扰服务正常运行；Transmit malicious code, launch attacks or interfere with the normal operation of the Services;
- 转售、出租本服务或以其为基础向第三方提供同类服务（经书面许可的除外）。Resell or rent the Services, or provide similar services to third parties based on them, except with written permission.
6. 知识产权6. Intellectual Property
本服务及其相关的软件、代码、界面设计、文档、商标与标识的所有权利归本公司或相关权利人所有。本条款未明示授予您的权利均予保留。您不得复制、修改、分发或创作衍生作品，除非获得我们的书面许可。 All rights, title and interest in the Services and related software, code, interface designs, documentation, trademarks and logos belong to us or the respective rights holders. All rights not expressly granted under these Terms are reserved. You may not copy, modify, distribute or create derivative works without our written permission.
7. 数据归属7. Data Ownership
- 您通过店铺授权提供给本服务的经营数据归您所有。Business data you provide to the Services through store authorization remains yours.
- 我们仅为提供服务之目的处理该等数据，并按《隐私政策》承担保护义务。We process such data solely to deliver the Services and protect it in accordance with our Privacy Policy.
- 您可随时导出自身业务数据；服务终止后我们将在约定期限内删除或匿名化处理。You may export your business data at any time; upon termination we will delete or anonymize it within the agreed period.
- 我们对服务的运行日志、匿名化统计信息等享有使用权，用于服务优化与安全维护。We may use service operation logs and anonymized statistical information for service improvement and security maintenance.
8. 服务费用8. Fees
本服务的费用、计费方式与支付安排以双方另行签署的合同或订单为准。除另有约定外，已支付费用不予退还。 Fees, billing methods and payment arrangements are governed by a separately executed contract or order. Unless otherwise agreed, fees paid are non-refundable.
9. 服务可用性与支持9. Availability & Support
我们将以商业上合理的努力保障服务的持续可用性，并可能进行计划内维护。对于第三方平台接口的中断、限流或政策调整导致的服务影响，我们将及时通知并协助处理，但不承担由此产生的直接责任。 We will use commercially reasonable efforts to maintain service availability and may perform scheduled maintenance. For service impacts caused by third-party API outages, rate limits or policy changes, we will notify you promptly and assist in mitigation, but assume no direct liability arising therefrom.
10. 免责声明10. Disclaimer
本服务按“现状”提供。在法律允许的最大范围内，我们不就服务的适用性、无中断或无错误作出任何明示或默示的保证。您应自行评估使用本服务对自身业务的影响，并对经营决策承担责任。 The Services are provided "as is". To the maximum extent permitted by law, we make no express or implied warranties regarding fitness for a particular purpose, uninterrupted operation or error-free performance. You are responsible for evaluating the impact of the Services on your business and for your business decisions.
11. 责任限制11. Limitation of Liability
在法律允许的最大范围内，对于因使用或无法使用本服务而产生的任何间接、附带、特殊、惩罚性或后果性损失（包括利润损失、业务中断、数据丢失），我们不承担责任。我们的累计赔偿责任以您在过去十二（12）个月内就本服务实际支付的费用总额为限。本条款不排除依法不得限制或排除的责任。 To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, punitive or consequential damages (including lost profits, business interruption or data loss) arising from the use of or inability to use the Services. Our aggregate liability shall not exceed the total fees you actually paid for the Services in the preceding twelve (12) months. Nothing in these Terms excludes liability that cannot be limited or excluded under applicable law.
12. 服务变更、暂停与终止12. Modification, Suspension & Termination
- 我们可能对服务进行升级、调整或部分功能下线，重大变更将提前通知。We may upgrade, adjust or discontinue parts of the Services, with advance notice for material changes.
- 如您违反本条款或法律法规，我们有权暂停或终止服务。We may suspend or terminate the Services if you breach these Terms or applicable law.
- 服务终止后，您可在约定期限内导出数据；逾期我们将按《隐私政策》删除或匿名化处理。After termination you may export your data within the agreed period; thereafter we will delete or anonymize it in accordance with our Privacy Policy.
13. 保密13. Confidentiality
双方对因履行本条款而获知的对方商业秘密、技术信息与经营数据负有保密义务，未经对方书面同意不得向第三方披露，法律法规另有规定或已进入公共领域的除外。保密义务在本条款终止后继续有效。 Each party shall keep confidential the other party's trade secrets, technical information and business data obtained in connection with these Terms, and shall not disclose them to third parties without written consent, except where required by law or already in the public domain. This obligation survives termination of these Terms.
14. 适用法律与争议解决14. Governing Law & Dispute Resolution
本条款的订立、效力、解释与争议解决均适用中华人民共和国法律。因本条款产生的争议，双方应友好协商解决；协商不成的，任何一方可向本公司注册地有管辖权的人民法院提起诉讼。 These Terms are governed by the laws of the People's Republic of China as to their formation, validity, interpretation and dispute resolution. Disputes shall first be resolved through friendly negotiation; failing that, either party may bring an action before the competent people's court in the place of our registration.
15. 条款修订15. Changes to These Terms
我们可能不时修订本条款。修订后的条款将在本页面发布并更新生效日期。如修订实质性影响您的权利，我们将通过邮件或平台通知方式提示。继续使用本服务即视为接受修订后的条款。 We may revise these Terms from time to time. Revised Terms will be posted on this page with an updated effective date. Where revisions materially affect your rights, we will notify you by email or in-product message. Continued use of the Services constitutes acceptance of the revised Terms.
